Engagement Terms

These terms apply when a company ("Client") signs up online for the Investorrelations.agency private placement programme ("Services"). Version: 2026-10-26d.

1. Services

A secure client portal and installable app; document management for the private placement memorandum (PPM) and supporting documents; due-diligence questionnaire and reports; click-through NDAs; a data room with access logs; SEC EDGAR (Login.gov, Form ID, CIK, CCC, Form D) and CUSIP/ISIN preparation checklists; task, deadline and filing alerts; and a 12-month campaign presenting the Client's offering to FINRA-registered US broker-dealers to seek indications of interest ("IOIs").

2. Fees

A first payment of US$3,995, charged today at sign-up, made up of a US$1,495 onboarding and client account set-up fee plus the first monthly payment of US$2,500, followed by US$2,500 per month for 11 further months, charged one month after sign-up, then on the same day each month, for 12 monthly payments in total (US$31,495). There are no success fees, commissions or fees calculated on capital raised. Fees are exclusive of any applicable taxes.

3. Term, cancellation and refunds

The engagement runs for 12 months from sign-up. The first month is covered by the first payment, and the monthly charge ends automatically after the eleventh US$2,500 payment. The Client may cancel at any time by emailing info@investorrelations.agency; cancellation stops all future monthly payments and takes effect at the end of the month already paid for. All fees are earned when paid and are non-refundable for any reason, including where the Client does not receive any IOI or does not raise capital. No refunds or credits are given for partial months. Either party may also end the engagement for material breach not cured within 30 days.

4. Broker-dealers and IOIs

IOIs are sourced only from FINRA-registered US broker-dealers. An IOI is non-binding and is not a commitment to invest. We do not guarantee any IOI, investment or amount raised. Any offering is made only by the Client's own offering documents, through licensed broker-dealers where required.

5. Not investment advice; not a broker-dealer

Investorrelations.agency is not a registered broker-dealer or investment adviser, does not provide investment, legal or tax advice, does not solicit investors, and does not offer, sell or handle any securities or investor funds. Nothing in the Services is an offer to sell or a solicitation of an offer to buy any security. The Client remains responsible for its own legal compliance, including Regulation D and state notice filings, with its own counsel.

6. Eligibility

We accept clients from all countries, except companies organised, located or resident in a sanctioned or restricted jurisdiction (Cuba, Iran, North Korea, Syria, and the Crimea, so-called Donetsk People’s Republic (DNR) and Luhansk People’s Republic (LNR) regions of Ukraine), and except any person on a sanctions list. Investor introductions and indications of interest (IOIs) come only from US FINRA-registered broker-dealers.

7. Client responsibilities

The Client confirms that information and documents it provides are accurate and that it has the right to share them. The Client is responsible for the accuracy of its offering documents.

8. Confidentiality and data

We keep Client materials confidential and use them only to deliver the Services. Uploaded documents may be processed by AI service providers for first-pass review, under confidentiality terms; findings are reviewed by our team before any action.

9. Liability

To the extent permitted by law, our total liability is limited to fees paid in the one month before the claim.

10. Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Investorrelations.agency is Aberdeen Equity Corp DBA Investorrelations.agency, a Wyoming corporation, which also maintains a trading address in New York.
